Welcome to the user interface hosted by PandaTool ("we," "our," or "us") at https://www.pandatool.org ("Interface" or "Application"). The Interface provides access to decentralized protocols on various public blockchains (including but not limited to Ethereum), allowing users to create certain compatible digital assets. To use the Interface, you must use non-custodial wallet software that enables you to interact with public blockchains. Your relationship with that non-custodial wallet provider is governed by the applicable terms of service of the third party, not this Agreement ("Agreement").

This Agreement explains the terms and conditions under which you may access and use the Interface. You must read this Agreement carefully. By accessing or using the Interface, you signify that you have read, understood, and agree to be bound by all the terms of this Agreement. If you do not agree to any term of this Agreement, you are not authorized to access or use the Interface and should not use it.

Please note: Please read this Agreement carefully as it governs your use of the Interface. This Agreement contains important information, including a binding arbitration clause and a class action waiver clause, both of which affect your rights in dispute resolution. The Interface is only available to you, and you should only access PandaTool if you fully agree to these terms.

User Eligibility Requirements

This website expressly prohibits users from countries and regions such as Iran, North Korea, Cuba, Syria, and Crimea from using it. Individuals from these countries or regions are kindly requested not to access or use any services of this tool. Once you use this service, you will be deemed to automatically agree to all the contents of this disclaimer.

Furthermore, you need to declare that you are at least the legal age of majority in your jurisdiction (for example, 18 years in the United States) and have full rights, capacity, and authorization to enter into and comply with the terms and conditions of this Agreement on behalf of yourself and any company or legal entity that you may access or use the interface on behalf of.

You further declare that you are not (a) the subject of any economic or trade sanctions imposed or enforced by any government authority, or designated on any prohibited or restricted party list (including but not limited to lists maintained by the Office of Foreign Assets Control of the U.S. Treasury Department); or (b) a resident, citizen, or organization in a jurisdiction or territory where comprehensive national, regional, or territorial economic sanctions are imposed by the United States. Finally, you declare that your access and use of the interface will fully comply with all applicable laws and regulations, and you will not access or use the interface to engage in, facilitate, or otherwise enable any illegal activities.

Once again, it is emphasized that this website does not allow users from countries and regions subject to U.S. sanctions to use it, and all consequences or liabilities arising from this will not be borne by this website.

Modification of the Agreement

We reserve the right to modify this Agreement at our sole discretion at any time. If we make any modifications, we will notify you by updating the date at the top of the Agreement and keeping the current version in the Terms of Service of PandaTool. All modifications are effective upon posting, and your continued access or use of the Interface will be deemed to confirm your acceptance of these modifications. If you do not agree to any modification of this Agreement, you must immediately cease accessing and using the Interface.

We own all intellectual property and other rights to PandaTool and its contents, including (but not limited to) software, text, images, trademarks, service marks, copyrights, patents, and designs. These intellectual property rights may be used in accordance with the terms of our copyright license and trademark guidelines.

Other Rights

We reserve the following rights, which do not constitute our obligations: (a) to modify, replace, delete, or add Interfaces with or without notice to you; (b) to review, modify, filter, disable, delete, and remove any and all content and information from the Interface; and (c) to cooperate with any law enforcement, court, or government investigation, order, or directive or third-party collaboration, request, or instruction requiring or instructing us to disclose the information or content you provide.

Privacy

When you use PandaTool, we only collect information such as your blockchain wallet address, completed transaction hashes, and token names, symbols, etc. We do not collect any personal information (such as your name or other identifiers that can be associated with you). However, we use third-party service providers who may receive or independently obtain your personal information from publicly available sources. We cannot control how these third parties process your data, and you should consult their privacy policies to understand how they collect, use, and share your personal information. By accessing and using PandaTool, you understand and agree to our data processing practices and our service providers' processing of your information.

The information we collect is used to detect, prevent, and mitigate financial crime and other illegal or harmful activities on PandaTool. For this purpose, we may share the information we collect with blockchain analytics providers. We only share information with these service providers to help them assist us in promoting the security, integrity, and safety of PandaTool.

Please note that when you use PandaTool, you are interacting with Ethereum or other public blockchains, and the nature of this interaction may make your transaction information transparent. PandaTool cannot control and is not responsible for any information you disclose on the blockchain during the operation.

Prohibited Activities

You agree not to engage in or attempt to engage in any prohibited activities in the process of using PandaTool, including but not limited to:

  • Intellectual Property Infringement: Engaging in or facilitating any activity that infringes or violates any copyright, trademark, service mark, patent, publicity right, privacy right, or other proprietary intellectual property rights under the law.

  • Cyber Attacks: Attempting to interfere with or disrupt the integrity, security, or normal operation of any computer, server, network, personal device, or other information technology systems, including (but not limited to) deploying viruses and DOS attacks.

  • Fraud and Misrepresentation: Attempting to defraud us or any other individual or entity, including (but not limited to) providing any false, inaccurate, or misleading information to unlawfully obtain the property of others.

  • Market Manipulation: Engaging in any behavior that violates applicable laws, rules, or regulations regarding market integrity, including but not limited to manipulation techniques such as "pump and dump," "spoofing," and "wash trading."

  • Violation of Securities and Derivatives Regulations: Violating any applicable laws, rules, or regulations regarding securities or derivatives trading, including (but not limited to) issuing unregistered securities and providing leverage or other financial derivatives issuance to retail customers in countries or regions such as the United States or mainland China.

Non-Delegated Transactions

You agree and understand that: (a) all transactions submitted through PandaTool are considered non-delegated transactions, meaning they are initiated solely by you; and (b) you have not received any investment advice from us in any transaction.

Non-Custodial and No Fiduciary Responsibility

The tool is a completely non-custodial application, which means you are solely responsible for safeguarding the encryption private keys of the digital asset wallet you hold. This agreement is not intended to create or impose any fiduciary responsibility. To the fullest extent permitted by law, you acknowledge and agree that we do not assume any fiduciary responsibility to you or any other party, and any such liabilities and obligations are irrevocably waived, exempted, and eliminated herein. Furthermore, you agree that we are only responsible for the obligations and responsibilities explicitly specified in this agreement.

Compliance and Tax Obligations

PandaTool may not be available or applicable in your jurisdiction. By accessing or using PandaTool, you agree that you are solely responsible for complying with all laws and regulations that may apply to you. Specifically, your use of this tool may result in various tax consequences, such as income tax or capital gains tax, value-added tax, goods and services tax, or sales tax in your jurisdiction. You are responsible for determining the tax implications for any transactions you initiate or receive, and if applicable, reporting and/or paying the correct taxes to the appropriate tax authorities.

Risk Assumption

By accessing and using PandaTool, you represent that you are sufficiently mature in financial and technical aspects to understand the inherent risks of using cryptographic and blockchain-based systems, and you have a certain understanding of the details and complexities of Ether (ETH), so-called stablecoins, and other digital tokens following the Ethereum standard (ERC-20).

In particular, you understand that due to various risk factors including (but not limited to) adoption, speculation, technical, security, and regulatory risks, the market for these digital assets is still in its infancy and highly unstable. You understand that anyone can create tokens, including false versions of existing tokens and tokens falsely claiming to represent projects, and acknowledge and accept the risk of mistakenly trading these tokens or other tokens. So-called stablecoins may not be as stable as they claim, may not be fully or adequately backed, and may be subject to panic and runs.

Furthermore, you understand that smart contract transactions are automatically executed and settled, and blockchain-based transactions are irreversible once confirmed. You acknowledge and accept that the costs and speed of transactions using blockchain-based cryptographic systems such as Ethereum are variable and may increase significantly at any time. You further acknowledge and accept the risks associated with choosing the expert trading mode, which may expose you to significant price slippage and higher costs.

In conclusion, you acknowledge that we are not responsible for these variables or risks, do not own or control this product, and are not liable for any losses you may incur when accessing or using this tool. Therefore, you understand and agree to bear all risks associated with using the PandaTool tool.
